Please read these Terms of Service (“Terms”, “Agreement”) carefully before using the website, courses, memberships, and services operated by AiPro Institute (“us”, “we”, “our”, or “Institute”). By accessing or using our services at aiproinstitute.com (the “Site”), you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

This Agreement sets forth the legally binding terms and conditions for your use of the Site and all services provided by AI Pro Institute.

1. Definitions

For the purposes of this Agreement, the following terms shall have the meanings set forth below:

  • “Service” refers to the website, online courses, membership content, community forums, and any other features or content provided by AiPro Institute.
  • “Course” means any educational curriculum, training program, or individual lesson provided by the Institute, whether free or paid.
  • “Membership” refers to a recurring subscription plan that grants access to specific content, tools, or community features.

  • “Content” means text, images, videos, audio, software, code, and other materials available on the Service.

2. Course Enrollment and Access

2.1. Enrollment Process

To enroll in a Course, you must complete the registration process and pay any applicable fees. You agree to provide accurate, current, and complete information during the enrollment process.

2.2. License to Access

Upon purchase of a Course, AiPro Institute grants you a limited, non-exclusive, non-transferable license to attend / access and view the Course content for which you have paid all required fees, solely for your personal, non-commercial, educational purposes. No other use is permitted.

2.3. Availability

While we strive to make content available indefinitely, we reserve the right to modify, update, or remove Course content at any time. For lifetime access purchases, if any, “lifetime” refers to the lifetime of the Service or the specific Course’s availability on our platform.

3. Membership Terms

3.1. Membership Types

We offer various tiers of membership (e.g., Monthly, Annual). Benefits, pricing, and access levels for each tier are described on our pricing page and are incorporated into these Terms by reference.

3.2. Auto-Renewal

Membership subscriptions automatically renew at the end of each billing cycle unless cancelled by you. By signing up for a Membership, you authorize us to charge your payment method for the renewal term at the then-current rate.

3.3. Benefits and Obligations

Members must maintain an active subscription to access Member-only content. If a subscription lapses or is cancelled, access to all Member-only content, including previously downloaded materials that require active validation, may be revoked immediately.

4. Payment Terms

4.1. Pricing and Taxes

All prices are listed in US Dollars (USD) unless otherwise stated. You are responsible for any applicable sales tax, VAT, or other governmental levies associated with your purchase.

4.2. Payment Methods

We accept major credit cards and other payment methods as indicated on the checkout page. You represent and warrant that you have the legal right to use any payment method you provide.

4.3. Billing Cycles

For subscriptions, billing occurs at the beginning of the subscription period. If a payment fails, we may suspend access to the Service until payment is successfully processed.

5. Refund and Cancellation Policy

5.1. Course Refunds

All Course purchases are final and non-refundable. Once you enroll in a Course, whether conducted online or in offline classroom settings, we do not offer refunds, exchanges, or credits under any circumstances. Please review the Course description, schedule, format, and curriculum carefully before making a purchase.

5.2. Membership Cancellation

You may cancel your Membership at any time via your account settings. Cancellation will be effective at the end of your current billing period. We do not provide refunds or credits for any partial membership periods.

6. Intellectual Property Rights

6.1. Institute Ownership

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of AI Pro Institute and its licensors. The Service is protected by copyright, trademark, and other laws of Singapore and international treaties.

6.2. User-Generated Content

You retain ownership of any content you post, submit, or display on or through the Service (“User Content”). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content in connection with providing the Service.

7. Content Licensing and Usage Restrictions

Unless explicitly authorized, you may not:

  • Share your account credentials with anyone else;
  • Reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, sublicense, or otherwise transfer any Course content;
  • Use the Service for any commercial purpose not expressly permitted by these Terms;
  • Systematically retrieve data or other content from the Service to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.

8. User Accounts and Security

You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

9. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable national or international law or regulation;
  • Transmit any unsolicited or unauthorized advertising, promotional materials, spam, junk mail, chain letters, or pyramid schemes;
  • Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability;
  • Upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service.

10. Account Suspension and Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Upon termination, your right to use the Service will immediately cease.

11. Warranties and Disclaimers

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. AiPro Institute makes no representations or warranties of any kind, express or implied, regarding the operation of the Service or the information, content, materials, or products included on the Service. To the full extent permissible by applicable law, AI Pro Institute disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.

We do not guarantee that the results that may be obtained from the use of the Service will be effective, reliable, or accurate or will meet your requirements.

12. Limitation of Liability

In no event shall AiPro Institute, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory.

Our total liability to you for any damages arising from or related to this Agreement (for any cause whatsoever and regardless of the form of the action), will at all times be limited to the amount you paid the Institute in the last 12 months.

13. Indemnification

You agree to defend, indemnify, and hold harmless AiPro Institute and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

14. Dispute Resolution and Governing Law

These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the Singapore International Arbitration Centre (SIAC). The arbitration shall take place in Singapore, and the language of arbitration shall be English.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
