REPRESENTATIONS AND WARRANTIES<\/h2>\n \n <div class=\"clause\">\n <p><span class=\"clause-number\">5.1<\/span> <strong>Assignor's Representations.<\/strong> Assignor represents and warrants that:<\/p>\n <ul>\n <li>Assignor is the sole and exclusive owner of the Intellectual Property<\/li>\n <li>The Intellectual Property is free and clear of all liens, encumbrances, and claims<\/li>\n <li>Assignor has the full right, power, and authority to enter into this Agreement<\/li>\n <li>The Intellectual Property does not infringe upon any third-party rights<\/li>\n <li>No third party has any rights or interest in the Intellectual Property<\/li>\n <li>All moral rights in the Intellectual Property have been waived to the fullest extent permitted by law<\/li>\n <li>The Intellectual Property is original and was created independently by Assignor<\/li>\n <li>No claims, demands, or litigation are pending or threatened regarding the Intellectual Property<\/li>\n <\/ul>\n <\/div>\n\n <div class=\"clause\">\n <p><span class=\"clause-number\">5.2<\/span> <strong>Non-Infringement.<\/strong> Assignor warrants that the use, reproduction, distribution, or other exploitation of the Intellectual Property will not violate any applicable laws or infringe upon any intellectual property rights of any third party.<\/p>\n <\/div>\n\n <div class=\"clause\">\n <p><span class=\"clause-number\">5.3<\/span> <strong>Work for Hire.<\/strong> To the extent the Intellectual Property constitutes a \"work made for hire\" under applicable copyright law, the Parties acknowledge that the Intellectual Property is deemed work made for hire owned by Assignee.<\/p>\n <\/div>\n <\/div>\n\n <div class=\"section\">\n <h2 class=\"section-title\">6. FURTHER ASSURANCES<\/h2>\n \n <div class=\"clause\">\n <p><span class=\"clause-number\">6.1<\/span> <strong>Cooperation.<\/strong> Assignor agrees to cooperate fully with Assignee in connection with the registration, protection, and enforcement of the Intellectual Property, including:<\/p>\n <ul>\n <li>Executing any additional documents necessary to perfect the assignment<\/li>\n <li>Providing testimony or evidence in any legal proceedings<\/li>\n <li>Assisting with patent, trademark, or copyright applications<\/li>\n <li>Correcting any defects in the assignment documentation<\/li>\n <\/ul>\n <\/div>\n\n <div class=\"clause\">\n <p><span class=\"clause-number\">6.2<\/span> <strong>Power of Attorney.<\/strong> Assignor hereby irrevocably appoints Assignee as Assignor's attorney-in-fact to execute any documents necessary to perfect, register, or enforce the assignment.<\/p>\n <\/div>\n\n <div class=\"clause\">\n <p><span class=\"clause-number\">6.3<\/span> <strong>Costs and Expenses.<\/strong> Assignee shall bear all costs associated with registration, maintenance, and protection of the Intellectual Property following the Effective Date.<\/p>\n <\/div>\n <\/div>\n\n <div class=\"section\">\n <h2 class=\"section-title\">7. MORAL RIGHTS<\/h2>\n \n <div class=\"clause\">\n <p><span class=\"clause-number\">7.1<\/span> <strong>Waiver.<\/strong> To the fullest extent permitted by law, Assignor hereby irrevocably waives all moral rights in the Intellectual Property, including the right of attribution and the right to object to derogatory treatment.<\/p>\n <\/div>\n\n <div class=\"clause\">\n <p><span class=\"clause-number\">7.2<\/span> <strong>No Attribution Required.<\/strong> Assignor acknowledges that Assignee has no obligation to attribute the Intellectual Property to Assignor or to preserve any authorship designation.<\/p>\n <\/div>\n <\/div>\n\n <div class=\"section\">\n <h2 class=\"section-title\">8. INDEMNIFICATION<\/h2>\n \n <div class=\"clause\">\n <p><span class=\"clause-number\">8.1<\/span> <strong>Assignor's Indemnity.<\/strong> Assignor agrees to indemnify, defend, and hold harmless Assignee from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of:<\/p>\n <ul>\n <li>Any breach of Assignor's representations and warranties<\/li>\n <li>Any claim that the Intellectual Property infringes third-party rights<\/li>\n <li>Any defects or deficiencies in the Intellectual Property<\/li>\n <\/ul>\n <\/div>\n\n <div class=\"clause\">\n <p><span class=\"clause-number\">8.2<\/span> <strong>Survival.<\/strong> This indemnification obligation shall survive the termination or expiration of this Agreement.<\/p>\n <\/div>\n <\/div>\n\n <div class=\"section\">\n <h2 class=\"section-title\">9. MISCELLANEOUS PROVISIONS<\/h2>\n \n <div class=\"clause\">\n <p><span class=\"clause-number\">12.1<\/span> <strong>Entire Agreement.<\/strong> This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, whether written or oral.<\/p>\n <\/div>\n\n <div class=\"clause\">\n <p><span class=\"clause-number\">12.2<\/span> <strong>Amendment.<\/strong> This Agreement may only be amended by a written instrument signed by both Parties.<\/p>\n <\/div>\n\n <div class=\"clause\">\n <p><span class=\"clause-number\">12.3<\/span> <strong>Severability.<\/strong> If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.<\/p>\n <\/div>\n\n <div class=\"clause\">\n <p><span class=\"clause-number\">12.4<\/span> <strong>Waiver.<\/strong> No waiver of any provision of this Agreement shall be deemed or constitute a waiver of any other provision.<\/p>\n <\/div>\n\n <div class=\"clause\">\n <p><span class=\"clause-number\">12.5<\/span> <strong>Assignment.<\/strong> This Agreement shall be binding upon and inure to the benefit of the Parties and their respective successors and assigns. CONFIDENTIALITY<\/h2>\n \n <div class=\"clause\">\n <p><span class=\"clause-number\">9.1<\/span> <strong>Confidential Information.<\/strong> Assignor acknowledges that, in connection with this Agreement, Assignor may have access to confidential information of Assignee.<\/p>\n <\/div>\n\n <div class=\"clause\">\n <p><span class=\"clause-number\">9.2<\/span> <strong>Non-Disclosure Obligation.<\/strong> Assignor agrees to maintain the confidentiality of all such information and not to disclose it to any third party without Assignee's prior written consent.<\/p>\n <\/div>\n <\/div>\n\n <div class=\"section\">\n <h2 class=\"section-title\">10. MISCELLANEOUS PROVISIONS<\/h2>\n \n <div class=\"clause\">\n <p><span class=\"clause-number\">12.1<\/span> <strong>Entire Agreement.<\/strong> This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, whether written or oral.<\/p>\n <\/div>\n\n <div class=\"clause\">\n <p><span class=\"clause-number\">12.2<\/span> <strong>Amendment.<\/strong> This Agreement may only be amended by a written instrument signed by both Parties.<\/p>\n <\/div>\n\n <div class=\"clause\">\n <p><span class=\"clause-number\">12.3<\/span> <strong>Severability.<\/strong> If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.<\/p>\n <\/div>\n\n <div class=\"clause\">\n <p><span class=\"clause-number\">12.4<\/span> <strong>Waiver.<\/strong> No waiver of any provision of this Agreement shall be deemed or constitute a waiver of any other provision.<\/p>\n <\/div>\n\n <div class=\"clause\">\n <p><span class=\"clause-number\">12.5<\/span> <strong>Assignment.<\/strong> This Agreement shall be binding upon and inure to the benefit of the Parties and their respective successors and assigns.
